Terms of Service

Keystone is currently in beta. Features, policies, and data handling practices may evolve. We will notify registered users of material changes to this document.
1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Tranquility Labs LLC (“Keystone,” “we,” “us,” or “our”) governing your access to and use of the Keystone service, including the web application at keystoneapp.com, any downloadable software, and any related services (collectively, the “Service”).
By creating an account, accessing the Service, or clicking “I Agree,” you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, do not use the Service.
You must be at least 18 years old to use the Service. By using the Service, you represent that you are 18 or older.
2. What Keystone Is — and Is Not
Understanding what Keystone does and does not do is fundamental to this agreement. Please read this section carefully.
2.1 What Keystone Is
Keystone is a personal financial data organization tool. It helps you:
- Consolidate your financial data into a structured format through manual data entry
- Validate and assess the completeness of your financial data
- Compile that data into structured, portable artifact files (“Keystones”) in an LLM-optimized format
- Export those artifacts so you can provide them as context to third-party AI systems such as Claude or ChatGPT
The output of Keystone is a structured data artifact — a snapshot of your financial information organized in a schema designed to help general-purpose AI systems understand your financial context. It is analogous to gathering your financial documents before meeting with an advisor — it organizes information, it does not render judgment on it.
2.2 What Keystone Is Not — Financial Advice Disclaimer
Important
Keystone is NOT a financial advisor, investment advisor, broker-dealer, or financial planner. It does not provide financial advice, investment advice, tax advice, or legal advice of any kind. Nothing produced by or within the Service constitutes a recommendation to buy, sell, or hold any financial instrument, or to take any specific financial, investment, tax, or legal action.
Specifically and without limitation:
- The Keystone artifact (including the canonical snapshot, planning timeline, and constitution) contains your financial data in structured form. It is not advice.
- The “constitution” included in your Keystone is a set of structured reasoning instructions for an LLM — it is not personalized financial advice.
- The data health score and validation report reflect data completeness and consistency. They are not assessments of your financial health or suitability for any financial product or strategy.
- The planning timeline is a projection based solely on data and parameters you have entered. It is not a forecast, guarantee, or recommendation.
- Any responses you receive from third-party AI systems when you provide them with a Keystone artifact are generated by those systems and are not provided by Keystone. We are not responsible for those responses.
Keystone is not registered as an investment advisor with the SEC or any state securities regulator. It is not a broker-dealer registered with FINRA. It does not provide services regulated under the Investment Advisers Act of 1940 or equivalent state or international laws.
Always seek the advice of a qualified, licensed financial professional before making any financial decision.
3. Beta Product Terms
Keystone is beta software. By using the Service during the beta period, you acknowledge and agree that:
- The Service is provided for evaluation and feedback purposes. Features may be incomplete, changed, removed, or replaced without notice.
- Data entered during the beta may be subject to migration, modification, or loss as the underlying data architecture evolves. We will make reasonable efforts to preserve your data but make no guarantees during the beta period.
- We may terminate the beta at any time, modify access conditions, or introduce paid tiers for features that are currently free.
- The Service may contain bugs, errors, or interruptions. You should maintain your own records of your financial data independently of Keystone.
- Beta users may be invited to provide feedback. Any feedback you provide may be used to improve the Service without obligation or compensation to you.
- We will provide beta users with reasonable advance notice (where feasible) of significant changes affecting data availability, access, or pricing.
4. Account Registration and Security
To access the core features of the Service, you must create an account. You agree to:
- Provide accurate and complete information when registering
- Keep your password confidential and not share it with any third party
- Notify us immediately at support@keystoneapp.com if you believe your account has been compromised
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these Terms.
5. Data Ownership and Your Rights Over Your Data
5.1 You Own Your Data
Your financial data belongs to you. You retain full ownership of all personal financial information you enter into the Service and all Keystone artifacts you generate. These Terms do not transfer any ownership of your data to us.
5.2 License You Grant Us
By entering data into the Service, you grant us a limited, non-exclusive, revocable license to process your data solely for the purposes of: (a) providing the Service to you; (b) compiling your Keystone artifacts; (c) validating and scoring your data; and (d) maintaining the reliability and security of the Service. This license terminates when you delete your account and we complete our deletion obligations under the Privacy Policy.
5.3 Export and Portability
You may export your financial data and Keystone artifacts at any time. The Keystone artifact format uses open, documented JSON schemas. We will not technically restrict your ability to export, migrate, or delete your data.
5.4 Account Deletion
You may delete your account at any time through the account settings page or by contacting support@keystoneapp.com. Upon deletion, we will purge your financial data within 30 days in accordance with our Privacy Policy.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Provide false or misleading information in your account registration
- Use the Service to process financial data belonging to individuals other than yourself and members of your household without their explicit consent
- Attempt to gain unauthorized access to our systems, other users' accounts, or data
- Attempt to reverse engineer, decompile, or extract our proprietary algorithms, constitution logic, or artifact schemas beyond what is permitted by applicable law
- Use the Service in any manner that could damage, disable, overburden, or impair it
- Introduce malicious code, viruses, or other harmful material
- Use automated tools to scrape or extract data from the Service beyond standard API use
7. Intellectual Property
7.1 Our Property
The Service, including its software, algorithms, compilation pipeline, validation logic, constitution framework, artifact schemas, user interface, and documentation, is the proprietary property of Tranquility Labs LLC and its licensors. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as described herein.
7.2 Open Elements
The Keystone artifact format (the JSON schemas defining the structure of canonical_snapshot.json, planning_timeline.json, constitution.json, and manifest.json) is designed to be open and portable. We do not claim intellectual property rights that would prevent you from reading, interpreting, or building tools around artifact files you have generated from your own data.
8. Third-Party Services
The Service currently uses Notion as a data storage backend and may use other third-party services for infrastructure, email delivery, and related functions. Your use of the Service is also subject to the terms of any third-party AI platforms (such as Anthropic's Claude or OpenAI's ChatGPT) to which you choose to provide your Keystone artifact. We are not responsible for the practices, content, or outputs of any third-party services.
When you provide your Keystone artifact to a third-party AI platform, that interaction is governed by your agreement with that platform. The outputs generated by those platforms from your Keystone are not our outputs and we accept no responsibility for them.
9. Disclaimers and Limitation of Warranties
9.1 As-Is Provision
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9.2 Data Accuracy
The Keystone artifact reflects the data you have entered. We do not verify the accuracy of data you input. Keystones are only as accurate as the information you provide.
9.3 No Guarantee of Results
We make no representation that using Keystone or providing Keystone artifacts to AI systems will produce any particular financial outcome, insight, or benefit.
9.4 Beta Reliability
During the beta period, we do not warrant that the Service will be uninterrupted, error-free, or that data will not be lost. You are responsible for maintaining independent copies of your financial data.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Keystone, its directors, employees, partners, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use of or inability to use the Service
- Any data entered into the Service or contained in a Keystone artifact
- Any financial decisions made in reliance on your Keystone artifact or AI-generated responses derived from it
- Unauthorized access to your data
- Any third-party conduct or content
Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of: (a) the amounts you have paid to us in the twelve months preceding the claim; or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law. Nothing in these Terms shall limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Keystone and its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your violation of any third-party rights; (c) financial decisions you make based on your Keystone artifact or any AI-generated responses derived from it; or (d) any misrepresentation in data you enter into the Service.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute proceeding, you agree to contact us at legal@keystoneapp.com and describe your dispute. We will attempt to resolve the dispute informally within 30 days.
12.2 Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the State of New York.
12.3 For EEA/UK Users
Nothing in these Terms affects your statutory rights as a consumer under the laws of your country of residence. If you are a consumer resident in the EEA or UK, mandatory consumer protection provisions of your local law apply and cannot be waived by these Terms. You may also be entitled to bring a claim before your local courts or use alternative dispute resolution mechanisms available in your jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the changes take effect. The updated Terms will be posted on our website with the new effective date. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service before the effective date and may delete your account.
14. Termination
14.1 By You
You may stop using the Service at any time and delete your account as described in Section 5.4.
14.2 By Us
We may suspend or terminate your access to the Service if: (a) you materially breach these Terms; (b) we are required to do so by law; (c) we discontinue the Service. We will provide reasonable notice where feasible. Following termination, your right to use the Service ceases immediately. Sections 2.2, 7, 9, 10, 11, and 12 survive termination.
15. Miscellaneous
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Keystone regarding the Service and supersede all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
- Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control.
